01 Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Fortress Technologies Hub Inc. ("Company," "we," "our," or "us"), a federally incorporated Canadian technology company based in Toronto, Ontario.

These Terms govern your access to and use of our websites, applications, products, and services (collectively, the "Services"), including CoreMind (coremindx.ai), API Fortress (api-fortress.fortresstechnologieshub.com), the CoreMind Developer API, and our corporate website at fortresstechnologieshub.com.

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

04 Description of Services

4.1 CoreMind

CoreMind

CoreMind is a Canadian AI-powered assistant platform available at coremindx.ai. It provides conversational AI, content generation, image generation, video generation, document creation, web research capabilities, voice interaction, and persistent memory. CoreMind is available in Free, Pro, and Elite subscription tiers with varying features and usage limits.

CoreMind is proudly built and operated in Canada, with all core AI inference, data storage, and processing on Canadian-owned infrastructure.

4.2 CoreMind Developer API

CoreMind API

The CoreMind Developer API allows developers to integrate CoreMind AI capabilities — including chat completions, image generation, and video generation — into their own applications via a REST API. API access requires registration through the Developer Dashboard and is governed by the additional API-specific terms in Section 9 of these Terms.

4.3 API Fortress

API Fortress

API Fortress is an enterprise-grade B2B API security platform available at api-fortress.fortresstechnologieshub.com. It provides intelligent threat detection, Web Application Firewall (WAF) protection, Runtime Application Self-Protection (RASP), Zero Trust architecture, behavior analysis, replay protection, SIEM integration, built-in penetration testing, and compliance monitoring for enterprise APIs.

API Fortress is a B2B service. Access is available to companies and organizations upon registration. Enterprise service agreements may be required for certain tiers or features. All API Fortress data — including WAF logs, RASP events, and security scan results — is stored exclusively on our Canadian infrastructure.

4.4 Service Availability

All Services are provided on an "as is" and "as available" basis. We do not guarantee any specific uptime percentage. We reserve the right to modify, suspend, or discontinue any part of the Services at any time without prior notice, and we are not liable for any such modification, suspension, or discontinuation.

05 Acceptable Use Policy

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to use our Services to:

CoreMind

Content generated by CoreMind AI is provided "as is" without warranties of accuracy, completeness, reliability, or fitness for any particular purpose. You acknowledge and agree that:

Ownership of Content: Subject to our rights in the underlying AI technology, you retain ownership of the content you create using CoreMind, including your inputs (prompts) and the resulting outputs. You grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your content solely for the purpose of providing and improving the Service.

No AI Training on Your Data: We do not use your conversations, inputs, or outputs to train our AI models without your explicit consent.

07 Usage Limits and Fair Use

CoreMind

CoreMind includes usage limits that vary by subscription tier (Free, Pro, Elite). These limits may apply to messages and conversations, image and video generations, document exports, file uploads, and API credits. Current limits are displayed in your account dashboard and on our pricing page.

Subject to Change: Usage limits and fair use policies may be adjusted at any time based on system capacity, abuse prevention, or business requirements.

Exceeding Limits: If you exceed your usage limits, access to certain features may be temporarily restricted until the next billing cycle or until you upgrade your subscription.

Fair Use: All subscription tiers are subject to fair use policies. Excessive automated usage, abuse of features, or usage patterns that negatively impact other users may result in throttling or account restrictions.

08 Subscriptions, Payments, and Billing

8.1 CoreMind Subscriptions

CoreMind

CoreMind offers Free, Pro, and Elite subscription tiers. Paid subscriptions are billed in advance on a monthly or annual basis. All fees are in Canadian dollars (CAD) and are non-refundable except as expressly stated in our Refund Policy or required by law.

Payment Processing: CoreMind subscription payments are processed securely through Stripe, our third-party payment processor. By providing payment information, you authorize us to charge the applicable fees to your payment method. We do not store your complete credit card information on our servers.

Cancellation: You may cancel your CoreMind subscription at any time through your account settings. Upon cancellation, your subscription remains active until the end of the current billing period, after which your account reverts to the Free tier.

Price Changes: We will provide at least 30 days' notice before any subscription price increase takes effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Refunds: Refund requests are evaluated on a case-by-case basis in accordance with our Refund Policy. Contact us at [email protected] within 14 days of a charge.

8.2 CoreMind Developer API Credits

CoreMind API

CoreMind Developer API usage is billed based on credits consumed per request. Credits can be purchased through the Developer Dashboard. Unused credits do not expire but are non-refundable. Credit pricing is subject to change with 30 days' notice.

8.3 API Fortress

API Fortress

API Fortress is a B2B enterprise service. Billing is conducted via bank transfer or e-transfer directly to Fortress Technologies Hub Inc. Payment terms, amounts, and schedules are agreed upon in your enterprise service agreement. No third-party payment processor is used for API Fortress billing.

Late payments may result in suspension of the API Fortress service. We will provide reasonable notice before any suspension due to non-payment.

We reserve the right to modify, update, or deprecate API endpoints, models, or features at any time. We will make reasonable efforts to provide notice of breaking changes, but we are not obligated to maintain backward compatibility. It is your responsibility to monitor API updates and adapt your integrations accordingly.

9.5 End User Responsibility

If you build applications using the CoreMind Developer API, you are responsible for ensuring your application complies with all applicable laws, providing your end users with a privacy policy, and obtaining any necessary consents from your end users for data processing.

10 Intellectual Property Rights

Our Intellectual Property: The Services, including all content, features, functionality, design, logos, trademarks, and underlying technology, are owned by Fortress Technologies Hub Inc. and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes, subject to these Terms.

Restrictions: You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works based on the Services or any part thereof without our prior written consent.

Feedback: If you provide us with feedback, suggestions, or ideas about the Services, you grant us the right to use that feedback without restriction or compensation to you.

11 Third-Party Services

Our Services may integrate with or rely on third-party services, including payment processors, cloud infrastructure providers, AI generation providers, and authentication services. Your use of these third-party services is subject to their respective terms of service and privacy policies.

We are not responsible for the availability, accuracy, or content of third-party services, and we do not assume any liability for any third-party services or content. Where third-party services process your data, this is disclosed in our Privacy Policy.

12 Canadian Data Sovereignty

Fortress Technologies Hub is committed to Canadian data sovereignty. All core user data across our Services is stored and processed on Canadian-owned infrastructure in Canada. As a Canadian company, we are governed by Canadian privacy law — including the Personal Information Protection and Electronic Documents Act (PIPEDA) — and your data is not subject to the US CLOUD Act or foreign surveillance legislation.

13 Account Suspension and Termination

Termination by You: You may terminate your CoreMind account at any time using the "Forget Me" feature in your account settings or by contacting us at [email protected]. API Fortress enterprise clients may terminate their service in accordance with their enterprise service agreement.

Termination by Us: We reserve the right to suspend or terminate your account and access to the Services, without prior notice or liability, for reasons including but not limited to:

Effect of Termination: Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

14 Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT, OR UNINTERRUPTED, SECURE, OR ERROR-FREE OPERATION.

We do not warrant that the Services will meet your requirements, that results obtained from using the Services will be accurate or reliable, or that any errors in the Services will be corrected. AI-generated content may contain errors, inaccuracies, or inappropriate material despite our safety measures.

15 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FORTRESS TECHNOLOGIES HUB INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICES, OR DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO YOUR DATA.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

16 Indemnification

You agree to defend, indemnify, and hold harmless Fortress Technologies Hub Inc., its directors, officers, employees, agents, partners, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

17 Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Services shall be brought exclusively in the courts located in Toronto, Ontario, Canada, and you hereby consent to the personal jurisdiction and venue of such courts.

Privacy Legislation: The collection, use, and disclosure of personal information through our Services is governed by the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy laws. For privacy-related concerns, you may also contact the Office of the Privacy Commissioner of Canada at www.priv.gc.ca.

18 Dispute Resolution

Informal Resolution: Before filing any formal legal claim, you agree to first contact us at [email protected] to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days of receiving your notice.

Arbitration: If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms shall be settled by binding arbitration in accordance with the Arbitration Act (Ontario). The arbitration shall take place in Toronto, Ontario, and shall be conducted in English.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

19 Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations, including the Export and Import Permits Act (Canada) and any other applicable trade compliance laws. You represent that you are not located in, under the control of, or a national or resident of any country subject to trade sanctions or embargoes.

20 Changes to Terms

We reserve the right to modify these Terms at any time at our sole discretion. If we make material changes, we will notify you by posting the updated Terms with a new "Last Updated" date, sending an email to your registered address where applicable, and displaying a prominent notice within the Services.

Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services and terminate your account.

21 General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Fortress Technologies Hub Inc. regarding your use of the Services and supersede all prior agreements, representations, and understandings.

Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver shall be effective only if in writing and signed by Fortress Technologies Hub Inc.

Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

Force Majeure: We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, acts of government, internet outages, or third-party service failures.
